Section 12 – Registered Office of the Company

Establishment of Registered Office:

A company must have a registered office within 30 days of its incorporation and keep it capable of receiving and acknowledging all communications and notices.

Verification of Office:

The company must verify the registered office with prescribed documents and manner (as per rules).

Notice to Registrar (ROC):

Any change in the registered office must be notified to the ROC within 30 days using the prescribed form.

Display Requirements:

The company must paint or affix its name and the address of the registered office:

Outside of every office or place of business, in a visible manner.

On letterheads, business letters, billheads, and other official publications, in local and English language.

Use of Name and Corporate Identity:

The company must also print the Corporate Identity Number (CIN), along with:

Name

Address of the registered office

Telephone number (if any)

Fax number (if any)

Email (if any)

Website (if any)

Change of Registered Office across jurisdiction:

If the change is from the jurisdiction of one ROC to another, approval from the Regional Director (RD) is required.

Penalty for Non-Compliance:

If a company fails to comply with these provisions, the company and every officer in default shall be liable to a penalty of ₹1,000 for each day of default, up to a maximum of ₹1,00,000.
